- Bajaj Finance added long-term capital for its lending operations through a secured private placement.
- The debentures are backed by book debts and loan receivables and are planned for debt-market listing.
- The uniform coupon across the maturities leaves no visible term premium in the announced pricing.
Bajaj Finance allotted secured redeemable non-convertible debentures worth INR 2,069.50 crore on Friday, October 30, 2026, through a private placement. The proceeds are intended to support the lender's lending operations, according to ScanX.
Two tranches share one coupon
The allotment covers 206,950 secured redeemable NCDs with a face value of INR 1 lakh each. The first option has a 1,134-day tenure and is scheduled to mature in December 2029. The second runs for 1,826 days and matures in October 2031.
Both tranches carry a fixed annual coupon of 8.70 percent. The securities are backed by a first pari-passu charge on book debts and loan receivables, with security cover of at least 1.00 times the aggregate outstanding debentures.
Funding structure matters
Annual interest payments are planned for both options, with principal repayment at maturity. The first coupon payment for the shorter tranche is scheduled for December 7, 2026, while payments on the longer tranche are scheduled to begin on October 30, 2027.
The same coupon across the two maturities leaves no visible term premium in the announced pricing. For investors, the transaction adds another funding source for Bajaj Finance while keeping attention on borrowing costs, asset growth and the lender's ability to deploy capital profitably.
