- Scotiabank now owns all outstanding Scotia Group Jamaica shares.
- The court-approved transaction supports the bank's capital and operating-efficiency strategy.
- Scotia Group Jamaica shares are expected to leave the Jamaica Stock Exchange.
Scotiabank completed its acquisition of the Scotia Group Jamaica shares it did not already own on Friday, October 30, 2026. The bank announced the closing in a Scotiabank investor relations release issued from Toronto.
The transaction was completed under a court-approved scheme of arrangement and gives Scotiabank full ownership of Scotia Group Jamaica. Scotiabank said the deal is intended to optimize capital and operational efficiency across its existing footprint.
Full Ownership Reshapes Jamaican Unit
Scotiabank is paying minority shareholders CAD 0.6 billion in cash. The bank estimates that the transaction will reduce its Common Equity Tier 1 ratio by 8 basis points, a limited effect on its regulatory capital position relative to the size of the group.
Scotia Group Jamaica shares are expected to be delisted from the Jamaica Stock Exchange after the transaction. The change removes the subsidiary's public-market listing and leaves Scotiabank with direct ownership of the Jamaican banking operation.
For investors, the closing ends the execution phase of the Jamaica buyout but shifts attention to the financial benefits of the simplified structure. Scotiabank's stated rationale focuses on capital allocation and operating efficiency; the release does not provide a separate earnings forecast or quantify expected cost savings.
