- Scotiabank completed its acquisition of the Scotia Group Jamaica shares it did not already own.
- Scotia Group Jamaica shares are expected to leave the Jamaica Stock Exchange.
- The transaction is intended to improve capital and operational efficiency within Scotiabank's existing footprint.
Scotiabank has completed its acquisition of the remaining ordinary shares of Scotia Group Jamaica Limited, bringing the Jamaican subsidiary fully under the bank's ownership. The transaction became effective on Friday, October 30, 2026, according to Scotiabank's investor release.
The bank acquired all Scotia Group Jamaica shares that it did not already own through a court-approved scheme of arrangement. The remaining shares are expected to be delisted from the Jamaica Stock Exchange, ending the public-market ownership structure for the subsidiary.
Deal adds a defined capital effect
Scotiabank said the transaction supports its strategy of optimizing capital and operational efficiency across its existing footprint. Cash consideration for minority shareholders totals approximately C$0.6 billion, while the estimated impact on the bank's common equity tier 1 ratio is approximately eight basis points.
The completion consolidates Scotiabank's control of its Jamaican business but does not, by itself, establish a change in earnings guidance. Investors will therefore focus on how the ownership change affects capital deployment, operating efficiency and future returns as the business is integrated into the bank's Caribbean structure.
