- EQT has agreed to acquire all Cleanaway shares through a binding scheme of arrangement.
- Shareholder, Federal Court and regulatory approvals remain necessary before completion.
- The transaction is targeted for implementation by the end of March 2027.
EQT announced on October 19, 2026, that it had entered a binding scheme implementation deed to acquire Cleanaway Waste Management. The transaction would take the Australian waste management and resource recovery company private, subject to several approvals. The terms and board recommendation were reported in a PR Newswire release.
Takeover terms and conditions
Under the proposed scheme, shareholders would receive AUD 3.095 in cash for each Cleanaway share, subject to adjustments for dividends or other distributions. The consideration implies an enterprise value of AUD 9.3 billion.
Cleanaway's board unanimously recommends the scheme, provided there is no superior proposal and an independent expert concludes that the transaction is in shareholders' best interests. The scheme also requires approval from Cleanaway shareholders, the Federal Court of Australia and relevant regulators.
What investors should watch
A scheme booklet containing the independent expert's report and details of the shareholder meeting is expected in due course. The transaction is targeted for implementation by the end of March 2027 if the required conditions are satisfied or waived where permitted. Cleanaway shareholders are not required to take action at this stage.
