DoorDash reported record third-quarter revenue and announced a binding agreement to acquire Instacart on Thursday, October 29, 2026. The company said in its third-quarter results release that revenue for the period ended September 30 rose 34 percent year over year to 4.616 billion US dollars.
Marketplace gross order value increased 36 percent to 33.941 billion US dollars, while total orders rose 28 percent to 993 million. DoorDash said the acquisition of Deliveroo contributed to the reported growth; excluding Deliveroo, revenue and Marketplace gross order value each increased 23 percent year over year and total orders grew 17 percent.
Instacart Deal Sets New Scale Test
Under the agreement, DoorDash will acquire Maplebear, the parent company of Instacart, for 65.00 US dollars per share. Instacart shareholders may elect cash, DoorDash shares or a combination, subject to proration and a limit that stock consideration cannot exceed 25 percent of the total consideration. Instacart's board approved the agreement unanimously.
The transaction values Instacart's equity at approximately 17 billion US dollars and represents a 26 percent premium to Instacart's closing price on October 22, the last trading day before reports of possible deal talks emerged. DoorDash plans to fund the cash portion with cash on hand and debt financing, including a 364-day senior unsecured bridge facility arranged with JPMorgan Chase.
Closing is expected by the end of 2027 or in the first half of 2028. The deal still requires Instacart shareholder approval, antitrust clearance in the United States and regulatory approvals in Canada and Israel. Shareholders representing about 19 percent of Instacart's outstanding stock have agreed to support the transaction.
Profitability And Outlook
GAAP net income attributable to DoorDash common stockholders increased 91 percent year over year to 466 million US dollars. Adjusted EBITDA rose 41 percent to 1.060 billion US dollars, while free cash flow increased 9 percent to 787 million US dollars. The company said its adjusted EBITDA margin on Marketplace gross order value reached 3.1 percent, compared with 3.0 percent a year earlier.
DoorDash guided for fourth-quarter Marketplace gross order value of 35.4 billion to 36.4 billion US dollars and adjusted EBITDA of 900 million to 1.1 billion US dollars. Management expects the Instacart combination to create a path toward at least 500 million US dollars in annual synergies net of investments over several years, while saying it plans to reinvest more than the total synergies during the first year after closing.
Management described Instacart's grocery scale, merchant software and consumer reach as complementary to DoorDash's logistics network. The company expects the combination to support denser delivery routes, lower fulfillment costs and additional investment capacity, but the timeline, regulatory process, financing and integration remain material execution factors for investors.
