- DoorDash posted 28 percent order growth and 36 percent Marketplace GOV growth in the third quarter.
- Management expects the Instacart transaction to close between late 2027 and the first half of 2028, subject to approvals.
- Fourth-quarter guidance calls for Marketplace GOV of USD 35.4 billion to USD 36.4 billion.
DoorDash put a strong third quarter behind a large grocery bet on October 29, 2026, when it reported record marketplace activity and announced a definitive agreement to acquire Instacart. A November 4 analysis by Zacks highlighted management's focus on integration, grocery fulfillment and artificial intelligence.
Quarterly Growth Broadens
DoorDash generated USD 4.616 billion in revenue for the quarter ended September 30, up 34 percent from a year earlier. Total orders rose 28 percent to 993 million, while Marketplace gross order value increased 36 percent to USD 33.941 billion. GAAP net income attributable to common stockholders climbed 91 percent to USD 466 million, and adjusted EBITDA increased 41 percent to USD 1.060 billion.
The company said growth excluding the Deliveroo acquisition was still substantial: orders increased 17 percent, Marketplace GOV rose 23 percent and revenue advanced 23 percent. That distinction matters for investors assessing the underlying pace of the legacy business as the acquisition anniversary approaches.
Instacart Adds Execution Risk
DoorDash agreed to acquire Maplebear, the parent of Instacart, for USD 65.00 per share, implying equity value of approximately USD 17 billion. At least 75 percent of the consideration will be paid in cash, with DoorDash common stock capped at 25 percent of the total consideration. The companies expect closing at the end of 2027 or in the first half of 2028, subject to shareholder approval, antitrust review and other regulatory clearances.
Management sees a multiyear opportunity for at least USD 500 million in annual net synergies after investments. DoorDash expects to reinvest more than the anticipated synergies in the first year after closing, followed by positive net synergies from the second year onward. The potential benefits include denser delivery networks, merchant cross-selling, advertising, software sales and lower fulfillment costs.
That timetable leaves investors with a long period in which financing, regulatory approval and integration remain central risks. DoorDash plans to fund the cash component with cash on hand and debt financing, while targeting an investment-grade capital structure. The company also cautioned that the expected benefits may not arrive on schedule or at all.
Grocery And Technology Stay Central
DoorDash said DashMart fulfillment accuracy exceeded 99 percent in the third quarter and that warehouse-based delivery was more than 10 minutes faster on average than grocery orders fulfilled through traditional stores in comparable U.S. locations. Management argues that Instacart's scale can improve network density and support investment in inventory management and fulfillment infrastructure.
Chief Executive Tony Xu also emphasized AI-powered ordering, autonomous delivery and a unified global technology platform. Chief Financial Officer Ravi Inukonda said the platform transition remains on track for completion during the first half of 2027. These initiatives could support the long-term case, but they also add investment demands while the Instacart transaction is pending.
Fourth-Quarter Targets Raise The Bar
For the fourth quarter, DoorDash guided to Marketplace GOV of USD 35.4 billion to USD 36.4 billion and adjusted EBITDA of USD 900 million to USD 1.1 billion. The outlook includes continued investment in international markets, new categories and technology infrastructure, leaving execution against both growth and profitability targets as the next operating test.
