- Erste Group is pursuing majority control of Erste Bank Polska while retaining a minimum free float.
- Management raised several 2026 operating targets after strong customer lending in the first nine months.
- Shareholder participation and the December settlement remain key conditions for the Polish transaction.
Erste Group's Poland strategy moved into its subscription phase on Tuesday, November 3, while the bank's stronger nine-month customer business supports a higher 2026 lending target. In its October 30 release, Erste Group said loan volume including Erste Bank Polska had risen 24 percent year to date to 287 billion euros and that the full-year target was lifted above 290 billion euros.
Poland Offer Sets Strategic Focus
The voluntary tender is designed to raise Erste Group's holding in Erste Bank Polska from 49 percent to more than 50 percent, while keeping ownership below 75 percent. The offer price is approximately 713 Polish zloty per share, the subscription period is expected to last 30 days, and settlement is anticipated in December 2026.
Completion depends on sufficient shareholder participation and compliance with the ownership limits. Erste Group plans to fund the transaction from internal resources and expects to maintain a CET1 ratio above 14.25 percent after completion. The final ownership level therefore remains linked to investor take-up.
Higher Targets Strengthen Operating Case
Excluding Erste Bank Polska, Erste Group now expects 2026 net interest income to grow by more than 6 percent, compared with about 5 percent previously. Net fee and commission income is projected to rise by around 10 percent, while the cost-to-income ratio is expected to fall below 46 percent.
Erste Group stock traded at 111.70 euros on Lang & Schwarz at 17:05:34 CET on Wednesday, November 4, 2026, 3.71 percent above the Xetra close of Tuesday, November 3, at 107.70 euros. The real-time quote of Erste Group stock remains relevant while the offer progresses.
