- Shareholders are voting on Anup Bagchi's appointment as director and managing director and chief executive officer.
- The proposed three-year term runs from October 27, 2026, through October 26, 2029.

HDFC Bank shareholders are approaching the final deadline on Anup Bagchi's appointment as managing director and chief executive officer. The bank's postal-ballot notice, published on October 7 and available through FinancialFilings, says remote voting ends at 5:00 p.m. Indian Standard Time on Friday, November 6, 2026.
HDFC Bank stock traded at 21.80 euros on Lang & Schwarz at 09:43 CET on Thursday, November 5, 2026.
Shareholders decide Bagchi's mandate
The resolution asks members to approve Bagchi as a director and as the bank's managing director and chief executive officer. The proposed term runs from October 27, 2026, through October 26, 2029, and follows approval from the Reserve Bank of India and a board appointment made on October 1.
Bagchi took over after Sashidhar Jagdishan's tenure ended on October 26. The bank appointed Bagchi as an additional director from October 2 to support the transition, while the leadership appointment remains subject to shareholder approval.
Pay package is part of resolution
The ballot also covers the terms and conditions of Bagchi's remuneration, subject to applicable RBI approvals. The notice lists annualized fixed pay of 897.44 million Indian rupees and proposed variable pay of 2.692 billion Indian rupees for the 2026-27 performance period. The proposed total compensation is 3.590 billion Indian rupees, with variable pay capped at 300 percent of fixed pay and including cash and share-linked components.
The compensation structure gives investors a second governance issue alongside the appointment itself. The proposed share-linked awards are subject to the approval process and vest over multiple years, linking part of the package to Bagchi's continued tenure.
Result is the next catalyst
Voting began on October 8, with eligibility based on holdings recorded on October 2. If the required majority approves the resolution, the appointment and compensation framework will clear the remaining shareholder condition. HDFC Bank says the postal-ballot result and scrutinizer's report are to be displayed within two working days after the e-voting period ends.
