ITOCHU and its investment vehicle G.K. VIC began the tender offer for DENTSU SOKEN on Monday, November 2, after the transaction conditions were satisfied. The move adds a new execution milestone to Itochu's digital expansion strategy. The details are set out in ITOCHU Corporation's October 30 release.
Tender offer reaches launch stage
The offer price is JPY 2,880 per DENTSU SOKEN share. The tender period runs from November 2 through December 2, covering 21 business days, with a possible extension to December 15 if the target company requests it. DENTSU SOKEN supports the transaction and recommends that shareholders tender their shares.
The minimum purchase threshold is 9,340,400 shares, with no maximum. Dentsu Group, which holds 61.78 percent of DENTSU SOKEN, has agreed not to tender its stake. If the transaction succeeds, ITOCHU plans further steps intended to leave Dentsu Group and G.K. VIC as the sole shareholders.
Digital strategy remains the focus
ITOCHU says the transaction is designed to combine DENTSU SOKEN's business consulting, application development and proprietary software with the ITOCHU Group's IT infrastructure, cloud, operations and maintenance capabilities. The group also points to its customer base, overseas network and investment resources as potential complements.
The planned cooperation with ITOCHU Techno-Solutions could widen DENTSU SOKEN's access to infrastructure, cloud and business-process outsourcing projects. ITOCHU also identifies artificial intelligence, data use and digital transformation as areas where the combination could support growth. These are strategic objectives rather than quantified earnings guidance.
ITOCHU stock traded at EUR 12.91 on Lang & Schwarz at 3:37 p.m. CET on Monday, November 2, 2026. Compared with the EUR 13.18 quote in our October 28 report, the change is -2.05 percent. The quote was recorded without a verified Xetra closing comparison for the session.
For investors, the next key date is the end of the tender period on December 2, unless DENTSU SOKEN requests an extension. The financial contribution to ITOCHU will depend on completion of the transaction and the pace at which the planned operating synergies develop.
