- Tata Motors has secured an unconditional offer for Iveco after shareholders tendered a controlling stake.
- The offer will reopen in November, while delisting and further corporate steps remain outstanding.
Tata Motors' takeover offer for Iveco Group has become unconditional after shareholders tendered enough shares to satisfy the offer conditions. Sustainable Bus reported on Friday, October 30, that TML CV Holdings B.V., Tata Motors' acquisition vehicle, received acceptances for 238,157,212 ordinary shares, representing 87.81% of Iveco's ordinary share capital.
The transaction is scheduled to settle on October 30, with Tata Motors then expected to hold 89.42% of Iveco's ordinary share capital excluding treasury shares. The different percentages reflect the calculation bases used for total share capital and the stake after treasury shares are excluded.
Offer moves toward settlement
The cash offer stands at 14.40 euros per share. Tata Motors raised the consideration from 14.10 euros on October 9. The accepted shares carry total consideration of about 3.43 billion euros, while the broader transaction announced in 2025 was put at about 3.8 billion euros and excludes Iveco's Defence business.
The acceptance threshold had initially been set at 95%. Iveco shareholders approved its reduction to 80% at an extraordinary meeting on October 16, allowing the tender offer to clear the required condition. The tender period opened on September 7 and ended on October 26.
The offer will reopen from November 2 through November 6 at the same 14.40-euro price. Payment for shares tendered during this additional period is scheduled for November 13. The timetable gives shareholders who did not participate in the initial period another opportunity to tender their shares.
Delisting remains ahead
Tata Motors intends to acquire the remaining Iveco shares and pursue a delisting, but those steps have not yet been completed. The process could involve a voluntary purchase procedure, a Dutch-law compulsory acquisition if the relevant ownership threshold is reached, or the post-offer demerger and liquidation route approved by shareholders.
For investors, the unconditional status removes the main acceptance hurdle but leaves the settlement, the reopened offer and the subsequent corporate procedures as the next milestones. The ownership structure and the future trading status of the shares remain central to the investment case.
The real-time quote of Iveco stock was 14.37 euros at Lang & Schwarz on Friday, October 30, 2026, at 09:35 Berlin time.
