Jio Financial Services completed the conversion of warrants held by two promoter-group entities into equity shares on Monday, November 2, 2026. A TradingView report said the company allotted 12.5 crore equity shares each to Sikka Ports & Terminals Ltd and Jamnagar Utilities & Power Pvt Ltd at INR 316.50 per share.

Promoter ownership moves above 50 percent

The allotment lifted Sikka Ports & Terminals' holding to 4.65% from 2.93% and Jamnagar Utilities & Power's stake to 5.52% from 3.84%. Combined promoter and promoter-group ownership increased to 50.98% from 49.13%.

The conversion completed a process that began with the preferential issue of 25 crore warrants to each entity in September 2025. Both companies had already received an earlier tranche of 12.5 crore shares each in April 2026.

Capital base expands as earnings face pressure

Jio Financial Services' paid-up equity capital increased to INR 6,853.14 crore, comprising 685.31 crore shares. For investors, the higher promoter-group holding may strengthen the controlling shareholders' position, while the additional equity expands the company's issued share base.

The capital transaction comes after a mixed September quarter. Net profit fell 51% year over year to INR 340.44 crore, while total income rose nearly 70% to INR 1,699.41 crore. Interest income increased to INR 1,257.68 crore from INR 392.37 crore a year earlier, but total expenses also climbed to INR 1,166 crore from INR 436.50 crore.

The company is expanding its lending operations while building payments, insurance and asset-management businesses. The next results will show whether stronger operating income can translate into more consistent net-profit growth as the larger equity base and promoter ownership change take effect.
