Lonza's agreement to acquire five US CDMO sites from Merck KGaA is gaining a more detailed investor profile. A new analysis cited by Pharma Manufacturing says 60 to 70 percent of the acquired network's sales could come from bioconjugation, including high-potency payload-linkers.

Lonza announced the transaction on Tuesday, November 3, 2026. The purchase covers sites in St. Louis, Missouri; Madison and Verona, Wisconsin; Carlsbad, California; and Indianapolis, Indiana. The businesses add capabilities in bioconjugates, viral vectors, lipid nanoparticles, liposomes and PEGylated proteins.

Bioconjugation leads the capability mix

The analysis by William Blair cited by Pharma Manufacturing places the rest of the acquired sales base roughly evenly between viral vectors and non-viral delivery technologies. That mix gives Lonza additional exposure to complex modalities used in antibody-drug conjugates, cell and gene therapies and advanced drug delivery.

The transaction would lift Lonza's US CDMO site count from four to nine and add approximately 1,100 employees. Lonza expects the acquired operations to generate about CHF 250 million in sales in full-year 2028, initially at a CORE EBITDA margin below the group level.

Cash deal awaits mid-2027 closing

Lonza said the cash consideration will be funded with cash on hand and existing credit facilities. The companies expect closing in mid-2027, subject to customary conditions, and the businesses will operate independently until completion.
