- Nestle stopped consolidating its Russian operations at the end of September after losing management control.
- Management maintained 2026 organic-growth guidance of 3% to 4% and expects free cash flow above CHF 9 billion.
- The company agreed to sell its mainstream vitamins, minerals and supplements business for USD 1.0 billion, subject to approvals.
Nestle's Russia exit is now changing the group's reported balance sheet, while management continues to target 3% to 4% organic growth in 2026. In its third-quarter and nine-month sales release published on October 22, Nestlé said it no longer consolidates its Russian operations from the end of September because the business is under temporary external administration and the group lacks management control.
The company said the deconsolidation derecognized CHF 1.6 billion of net assets. It also recognized a CHF 1.4 billion non-cash charge for cumulative currency-translation adjustments, which has no effect on total equity. Nestlé expects the move to increase group net debt by CHF 0.9 billion at the end of 2026.
Guidance Holds Despite Reporting Change
The Russia business represented 2% of group sales and 3% to 4% of underlying trading operating profit and free cash flow on an annualized basis. Nestlé said the change has no impact on third-quarter or nine-month sales and only a limited effect on underlying 2026 results.
The company kept its organic-growth target at 3% to 4%, expects its underlying trading operating profit margin to improve from 2025 and forecasts free cash flow above CHF 9 billion. The release also reported third-quarter organic growth of 4.0%, including real internal growth of 2.8%.
Nestlé is also sharpening its portfolio. The group agreed in September to sell its mainstream vitamins, minerals and supplements business to Yellow Wood Partners for USD 1.0 billion. The transaction remains subject to regulatory approval and is expected to close by the first half of 2027.
