- NextDC chairman Douglas Flynn plans to leave after a successor is appointed and a short handover period is completed.
- Chief Executive Craig Scroggie will forgo his FY27 short-term and long-term incentive opportunities.
- The company expects to provide further capital spending and project updates at its November 20 annual meeting.
NextDC is responding to investor pressure with board changes after delays at its M3 Melbourne data center forced a reduction in its FY27 outlook. ARN reported on October 26 that Chairman Douglas Flynn intends to step down once a successor is appointed and a short transition is completed.
Board changes ahead of AGM
NextDC has expanded Spencer Stuart's mandate to find a new chair and an additional independent non-executive director. Director Stuart Davis plans to retire after the search is complete and the new directors are in place.
The board withdrew a proposed increase in the maximum remuneration pool for non-executive directors. Incumbent directors also agreed to cut their fees by 10 percent immediately, while Chief Executive Craig Scroggie will forgo both his FY27 short-term and long-term incentive opportunities.
M3 delay reshapes outlook
The governance response follows the suspension of parts of Jemena's 66kV line augmentation works for the M3 Melbourne facility. Jemena does not expect to resume the affected work before February 2027, while a planning decision for later M3 stages is also delayed.
NextDC's FY27 net revenue guidance was reduced to AUD 475 million to AUD 500 million from AUD 615 million to AUD 640 million, with the affected M3 contracts excluded from the revised range. The company said the board and management are focused on limiting the impact of the power delay and rebuilding investor confidence.
What investors should watch
NextDC expects to appoint the two new non-executive directors in the first quarter of calendar 2027, subject to finding suitable candidates. The annual general meeting on November 20 is the next scheduled point for updates on governance and the review of capital spending.
