- NextEra Energy and Dominion Energy accepted 101 of 117 proposed regulatory conditions and 13 more with modifications.
- The package includes four years of bill credits, USD 100 million for energy assistance and USD 100 million for workforce training.
- Completion of the proposed merger is expected in the second half of 2027.
NextEra Energy and Dominion Energy filed additional customer and financial protections on Tuesday, November 3, as Virginia regulators review their proposed merger. RTTNews reported that the companies accepted 101 of 117 conditions proposed by Virginia regulators and agreed to another 13 with modifications.
The proposed transaction would combine the two U.S. utilities, with completion expected in the second half of 2027. The latest filing is aimed at addressing concerns about customer protection, financial separation and the effect of the deal on Virginia operations.
New commitments for Virginia customers
The package includes four years of shareholder-funded customer bill credits, USD 100 million for energy assistance and another USD 100 million for workforce training. The companies also plan to create 1,000 jobs, keep Dominion's existing Virginia workforce for at least five years and spend up to USD 5 billion with Virginia-based businesses over five years.
NextEra and Dominion also plan to build a new office tower in downtown Richmond while maintaining dual headquarters. The companies said Dominion Energy Virginia would remain locally led and separately regulated.
The filing adds stronger financial separation between Dominion Energy Virginia and affiliated businesses, independent oversight and greater Virginia representation on the utility's board. These measures are intended to reduce concerns that the regulated Virginia utility could be exposed to risks elsewhere in the combined group.
For investors, the commitments may improve the merger's regulatory position, but they do not complete the approval process. The additional conditions address customer benefits and governance, while the transaction remains subject to regulatory review. The proposed closing target in the second half of 2027 leaves substantial execution and approval risk ahead.
