Banco de Sabadell gained a strategic shareholder after Groupe BPCE acquired a stake equivalent to approximately 7 percent of its share capital on October 6, 2026. The French banking group said the investment was made through market purchases and financial instruments and described the move as friendly. The announcement was published by Groupe BPCE.
A long-term shareholder with board ambitions
BPCE said it intends to remain a stable, long-term shareholder and seek representation on Sabadell's board. The appointment remains subject to governance procedures and the required Spanish and European regulatory approvals. BPCE also stated that it does not intend to increase its holding beyond 9.9 percent.
For Sabadell, the investment adds an aligned strategic shareholder after the bank's standalone strategy came under close investor scrutiny during the failed BBVA takeover attempt. Banco Sabadell Chairman Josep Oliu called BPCE's entry recognition of the strength of the standalone project and said it reinforced the stability of the shareholder base. Chief Executive Marc Armengol said the investment would support execution of the bank's strategic plan and bring a partner with complementary experience.
Cooperation talks target four business areas
The two banks plan to examine cooperation in corporate and investment banking, equipment leasing, consumer finance and cross-border client business. According to Groupe BPCE, discussions are expected to conclude in early 2027. The stated aim is to make BPCE's capabilities available to Sabadell clients while strengthening BPCE's European presence.
The proposal does not amount to a change of control. Its practical contribution will depend on the outcome of the discussions, the regulatory process and the eventual implementation of any joint initiatives. For investors, the potential benefit lies in broader commercial capabilities and cross-border reach rather than an immediate change to Sabadell's operating structure.
