PTC financing sets the next test

  • The bond issue supports Schneider Electric's planned acquisition of industrial software provider PTC alongside an earlier equity raise.

  • Closing is expected in the third quarter of 2027, subject to shareholder and regulatory approvals.

Schneider Electric has added a major debt component to the financing of its planned acquisition of PTC. The French energy technology group launched a multi-tranche senior bond offering on October 26, 2026, and announced the completed issue on October 28 in a regulated release carried by Les Echos.

The senior notes total 6.0 billion euros and have an average maturity of 8.2 years with an average coupon of about 4.3 percent. The issue sits under Schneider Electric's Euro Medium Term Note program and is intended to help fund the purchase of PTC, a US provider of industrial design, engineering and data-management software.

Debt joins the equity financing

The bond sale follows Schneider Electric's 6.0 billion euro capital increase, completed through an accelerated bookbuilding offering without preferential subscription rights for existing shareholders. Together, the measures form a financing package for a transaction that Schneider Electric agreed with PTC on October 5.

The bond structure spreads maturities from November 2028 to November 2046. It includes a floating-rate tranche linked to three-month Euribor plus 0.45 percent, while the fixed-rate tranches carry coupons ranging from 4.000 percent to 5.000 percent. The schedule gives investors several repayment dates but also leaves Schneider Electric with a long-dated interest burden.

Schneider Electric agreed to pay 205 US dollars in cash for each PTC share. The transaction values PTC's equity at approximately 22.6 billion US dollars and is intended to create a broader industrial software and artificial intelligence platform. Schneider Electric expects 250 million euros of annual run-rate cost synergies by the third year and approximately 800 million euros of revenue synergies.

Execution matters for shareholders

The financing changes the investment debate from the strategic rationale alone to the returns generated after closing. Schneider Electric has said the acquisition should be accretive to adjusted earnings per share before purchase-price allocation effects, but the benefits depend on integration, financing costs and the delivery of the planned synergies.

Schneider Electric expects the transaction to close in the third quarter of 2027, subject to approval by PTC shareholders and regulatory clearances. The timetable leaves investors focused on funding, leverage and the pace at which the combined group can convert industrial software and data-center demand into cash generation.
