- Verizon will determine tender yields after 2:00 p.m. New York time on November 4.
- Settlement for accepted notes is expected on November 9, subject to the offer conditions.
- A waterfall structure gives higher-priority note series precedence if demand exceeds the caps.
Verizon Communications is heading into the week with a debt-management deadline on Wednesday, November 4. The telecom group launched five cash tender offers on Thursday, October 29, and set the aggregate purchase price at up to USD 500 million. The company details the terms in its official announcement.
Deadline and priority structure
The offers expire at 5:00 p.m. New York time on November 4 unless Verizon extends or terminates them earlier. The notes mature between 2028 and 2061, while three longer-dated series share a USD 155 million sub-cap.
Verizon will use a waterfall methodology. Notes are accepted according to priority levels, so lower-priority series may receive only a prorated allocation or may not be accepted if tenders exceed the applicable limits.
Yield setting comes next
The company plans to announce the offer yields and total consideration for each series shortly after 2:00 p.m. New York time on November 4. Accepted notes are expected to settle on November 9, subject to the conditions of the offers. Holders will also receive accrued and unpaid interest through, but excluding, the settlement date.
