AMC prices new refinancing debt
On September 23, AMC Entertainment Holdings, Inc. (NYSE: AMC) said it had priced $2.00 billion of 8.875% first-lien notes due 2031 and $850.00 million of first-lien term loans. The term loans carry interest at SOFR plus 4.50 percent and have an original issue discount of 1.50 percent, according to AMC Entertainment investor relations.
The company said the new notes and first-lien term loan, together with a previously announced $1.12 billion second-lien term loan facility, were expected to close on or around October 5, 2026, subject to customary closing conditions. AMC said proceeds and cash on hand would be used for its tender offer, debt redemptions, repayment of existing term loans and related costs, the release said.
Senior notes tender offer
AMC’s tender offer for its outstanding 7.500% senior secured notes due 2029 is scheduled to expire at 5:00 p.m. New York City time on September 30, 2026, unless extended or terminated earlier. The offer is conditioned on debt financing producing at least $3.97 billion in aggregate gross proceeds, according to a company release.
