Plenitude reorganization completed
Eni said on October 1, 2026, that it had completed the reorganization of Plenitude’s shareholding structure with Ares Management Alternative Credit funds and Energy Infrastructure Partners. The transaction involved a non-proportional capital increase of EUR 1.56 billion, including EUR 1.08 billion subscribed by Ares and EUR 0.48 billion by Eni. Eni holds 65.03 percent of Plenitude, while Ares holds 26.24 percent and EIP 8.73 percent.
The new governance framework gives Eni and Ares joint control over Plenitude and results in the deconsolidation of the company from Eni’s consolidated financial statements. Eni said it retains de jure control and will continue direction and coordination activities under the shareholder agreements. Plenitude’s new board will have nine members, including five appointed by Eni, three by Ares and one by EIP.
Earlier treasury-share purchases
In a September 30, 2026 release, Eni reported that it acquired 3,144,244 shares on Euronext Milan from September 22 to 25, equal to 0.10 percent of its share capital. The purchases had a weighted average price of EUR 23.8531 per share and a total consideration of EUR 74,999,852.01.
