Driven Brands said on Tuesday, November 3, that an accounting review found material errors in previously issued financial statements and that the affected periods require restatement. Driven Brands stock traded at 10.55 euros on Lang & Schwarz at 11:00 p.m. CET on Wednesday, November 4. The company had announced the accounting review and preliminary third-quarter figures before that quote.
Preliminary sales remain positive
For the quarter ended September 26, preliminary same-store sales increased 2.0 percent across Driven Brands. Take 5 posted growth of 4.9 percent and added 27 net units, extending its same-store sales growth streak to 25 quarters. Franchise Brands increased same-store sales by 0.5 percent, while Auto Glass Now rose 6.5 percent.
The company said it held approximately USD 230 million in cash at quarter-end and had total net debt of approximately USD 1.4 billion after repaying approximately USD 485 million of long-term debt through the quarter. The preliminary figures are unaudited and may change as the review continues.
Lower earnings expectations
Driven Brands cut its fiscal 2026 adjusted EBITDA outlook to USD 410 million to USD 430 million from USD 430 million to USD 460 million. Adjusted diluted EPS guidance moved to USD 1.10 to USD 1.20 from USD 1.15 to USD 1.25, while revenue guidance remained at USD 1.95 billion to USD 2.05 billion.
Restatement-related costs are expected to reach at least USD 50 million in 2026, compared with the previous expectation of USD 35 million to USD 45 million. The company also revised its same-store sales outlook to 1.0 percent to 1.5 percent and expects Take 5 same-store sales growth of 3.5 percent to 4.0 percent for the full year.
For investors, the next key event is the completion of the accounting review and the delayed third-quarter filing. The revised profit outlook and the timing of the restatement will shape the assessment of earnings visibility.
Automotive service franchise network
Driven Brands operates a franchise-based automotive service network in North America. Its brands include Take 5 Oil Change, Maaco, Meineke and CARSTAR, covering oil changes, collision repair, maintenance and related vehicle services.
The company combines franchised locations with company-operated sites and generates revenue from its service network, franchise activities and related products. Take 5 is a growth area within the portfolio, while the broader group remains exposed to consumer spending and location-level operating costs.
