- Mustang Bio did not regain compliance with Nasdaq's minimum bid-price rule during its initial grace period.
- The company said it may use a reverse stock split if necessary, while warning that compliance is not assured.
Mustang Bio stock is facing a longer timetable to resolve its Nasdaq listing deficiency after the company disclosed that Nasdaq had granted a second 180-day grace period. The disclosure was filed on October 15, 2026, while the Nasdaq letter was received on October 13, according to the company's SEC Form 8-K.
Second cure period now in place
Mustang Bio had initially been given until October 12, 2026, to restore compliance after its common stock closed below USD 1.00 for 30 consecutive business days. The company said it did not meet that requirement by the initial deadline.
Nasdaq granted an additional 180 calendar days, extending the compliance period to April 12, 2027. Mustang Bio must demonstrate a closing bid of at least USD 1.00 for a minimum of 10 consecutive business days, generally no more than 20 consecutive business days, during that period.
Reverse split remains a possible remedy
The company told Nasdaq that it intends to take all reasonable measures to remain listed, including effecting a reverse stock split if necessary. The filing does not announce that a reverse split has been approved or scheduled. Mustang Bio also cautioned that there can be no assurance it will satisfy all requirements for continued Nasdaq listing.
If the deficiency is not cured by the end of the second grace period, Nasdaq staff would issue written notification that the common stock will be delisted. Mustang Bio could appeal to the Nasdaq Hearings Panel, although the filing says such an appeal would not pause any suspension of trading.
Mustang Bio describes itself as a clinical-stage biopharmaceutical company developing cell therapies for difficult-to-treat cancers. Investors therefore face a listing-compliance issue alongside the company's development and financing risks; the Nasdaq extension provides additional time but does not remove the underlying bid-price hurdle.
