Persistent Systems secured 83.25 percent of Nagarro's share capital after the initial offer period ended on September 17, 2026, according to PR Newswire on September 22, 2026. Persistent stock now faces a shareholder vote on October 5, 2026, covering financing arrangements linked to the transaction, Sahi Markets reported.

Nagarro threshold changes the deal

The 83.25 percent holding combines 61.15 percent of Nagarro shares tendered during the offer with a previously secured 22.10 percent stake. The minimum acceptance threshold was 50 percent plus one share, so the transaction cleared its central completion hurdle in September.

The additional acceptance period runs from September 23 through October 6, 2026, and remaining Nagarro shareholders can tender at EUR 81.00 per share, PR Newswire said. Persistent intends to pursue a delisting of Nagarro from the Frankfurt Stock Exchange, with closing expected by the end of the first quarter of calendar year 2027.

Growth meets financing pressure

Persistent's latest operating figures provide a stronger base for the integration case. The company reported USD 452.4 million of revenue in the first quarter of fiscal 2027, up 16.1 percent year over year, on its investor-relations page dated August 2, 2026, Persistent Systems reported.

The funding structure remains the practical counterweight. Persistent arranged an EUR 1.40 billion bridge facility and proposed a USD 450 million equity raise for shareholder approval, according to Sahi Markets on September 29, 2026.

Target rises with integration case

Axis Capital retained its Buy rating and raised its target from INR 6,980 to INR 7,210 on October 1, 2026, citing the higher Nagarro stake and potential integration synergies, NDTV Profit reported. The brokerage expects operational integration to begin in the third quarter of fiscal 2027 and synergy benefits to become visible in the first quarter of fiscal 2028.
