Persistent Systems is preparing another financing step for its planned acquisition of German software company Nagarro. The Economic Times reported on October 29 that the Indian IT services company plans to raise more than 6,000 crore rupees through non-convertible debentures, with maturities ranging from one to five years.

The proposed debt would follow a qualified institutional placement that raised 4,264 crore rupees earlier in October. According to The Economic Times, the debt is intended to replace a short-term bridge financing commitment and support the acquisition funding structure.

Acquisition funding moves into focus

Persistent Systems had secured 94 percent of Nagarro shares after receiving additional shareholder offers, the report said. The total acquisition consideration was described as about 1.25 billion US dollars, with the remaining financing to be arranged after the equity raise.

The financing plan gives investors two issues to monitor: the eventual cost and maturity profile of the debt, and the operational integration of Nagarro. The planned transaction would expand Persistent Systems' international delivery and technology-services footprint, while adding execution demands during the integration period.
