- SCC's SCG Chemicals will hold 44 percent of the proposed venture, while PTTGC will retain control with 56 percent.
- The companies expect annual synergies of THB 5.1 billion to THB 6.8 billion or more once the combination is fully implemented.
- Shareholder, competition and other regulatory approvals remain outstanding, with completion targeted for the second half of 2027.
The Siam Cement Public Company Limited and PTT Global Chemical have agreed key terms for a proposed Thai petrochemical joint venture valued at THB 186.514 billion, according to Kaohoon International. The agreement was disclosed on October 28, 2026, and reported on October 29.
Control stays with PTTGC
SCC will participate through its wholly owned subsidiary SCG Chemicals, which is set to receive a 44 percent stake in the combined business. PTTGC will hold 56 percent and retain control, including four of seven board seats and the chief executive position.
The transaction combines PTTGC's Thai olefins and polyolefins operations with SCGC's participating Thai assets. The merger consideration will be paid entirely in shares, although the parties may need additional capital injections if working capital differs from agreed levels before completion.
Synergies depend on execution
The partners forecast recurring annual synergy and integration benefits of THB 5.1 billion to THB 6.8 billion or more once the venture is fully realized. Expected benefits include improved feedstock allocation, coordinated production and maintenance, procurement savings, and more efficient logistics and marketing.
SCC plans to account for the investment as an associate using the equity method. The participating chemical businesses would therefore no longer be consolidated line by line in SCC's financial statements. The synergy estimates remain subject to execution and market conditions and are not a profit forecast.
Approvals set the timetable
PTTGC shareholders are scheduled to consider the combination at an extraordinary general meeting on December 3, 2026. The transaction also requires SCGC shareholder approval, competition clearance, other regulatory permissions and third-party consents.
The companies target regulatory progress in the first half of 2027 and closing in the second half. Industry volatility, integration challenges and approval delays remain identified risks to that timetable and to the expected benefits.
