- Service Properties Trust is reviewing an unsolicited approach for its hospitality portfolio.
- Contract termination costs and the company’s debt position could shape the board’s assessment.
- Third-quarter results are scheduled for November 5, 2026.
Service Properties Trust confirmed on October 9, 2026, that it had received an unsolicited proposal from TKO Hotels for its hospitality portfolio. The board said it would review and consider the approach in determining the course of action it believes is in the best interest of the company and its shareholders, according to the company website.
Commercial Property Executive reported on October 12 that the proposal covers 93 hotels with 21,110 rooms. TKO’s offer would target SVC’s hospitality assets while leaving its service-focused retail net lease platform in place, according to the Commercial Property Executive.
Deal economics remain complex
The proposal could support a sharper focus on SVC’s retail net lease holdings and provide liquidity for debt reduction if it were completed. The review is not an agreement, however, and the hotel contracts create potential execution costs. Commercial Property Executive reported that terminating the Sonesta arrangement could cost as much as USD 535 million, while contracts with Hyatt, IHG and Radisson include restrictions on termination without cause.
SVC’s own materials list a third-quarter 2026 earnings call for November 5, 2026. Investors are likely to watch that update for information on the board’s review, the hotel portfolio strategy and the trust’s balance-sheet priorities.
Service Properties Trust's business
Service Properties Trust is a U.S. real estate investment trust managed by The RMR Group. Its portfolio combines service-focused retail net lease properties with primarily full-service hotels serving urban and leisure-oriented markets across the United States, Puerto Rico and Canada.
The company had 745 retail net lease properties and 93 hotels as of June 30, 2026, with USD 9.7 billion invested across the two asset categories. Compared with hotel-focused Chatham Lodging Trust and net lease-focused Gladstone Commercial, SVC occupies a mixed-asset niche that links hospitality exposure with necessity-based retail properties.
