- Sidney Feltenstein was set to leave Tutor Perini's board after Ronald N. Tutor's beneficial ownership fell below the threshold tied to his board designation.
- The company expects to reduce the board's size after the resignation.
- Feltenstein had served as a director for 13 years, according to Chief Executive Gary Smalley.
Tutor Perini's board is set for a change after Sidney "Sid" Feltenstein was scheduled to resign on October 30, 2026. In a Form 8-K filed with the U.S. Securities and Exchange Commission, Tutor Perini said Feltenstein informed the company on October 7 that he would leave the board on that date.
Feltenstein was Ronald N. Tutor's board designee under a 2008 shareholders agreement. The filing said Tutor's beneficial ownership fell below 11.25% after recent sales of company stock by affiliated trusts, removing the basis for the designation.
Smaller Board Expected After Exit
Tutor Perini expects to reduce the board's size after Feltenstein's resignation. Chief Executive and President Gary Smalley thanked Feltenstein for 13 years of service and credited him with providing oversight and business judgment.
The governance change does not by itself establish a shift in the company's operating outlook. For investors, the next focus is how the board's smaller structure handles oversight while Tutor Perini continues to pursue large public and private construction projects.
