Arafura Rare Earths has taken another step towards unlocking its Nolans rare earths project, but the path to a final investment decision remains strewn with milestones. Shareholders will vote on a A$230 million capital raising on 10 June, and if the resolution fails, the entire financing package collapses. The company has just weeks to convince investors that it can close a stubborn offtake gap before bank commitments expire in December.

The latest piece of the puzzle is a binding agreement with Traxys North America to take 500 tonnes of neodymium-praseodymium oxide annually for five years, with a two-year renewal option. That deal, signed on 13 May, also covers 7.5 tonnes per year of dysprosium-terbium oxide — heavy rare earths that command a strategic premium because their supply chain is even more concentrated in China than light rare earths. The stock responded by climbing 9.09 per cent on the ASX, closing at A$0.36.

Traxys is no minor player. The trader handles more than 65 commodities through 20 global offices and books annual revenues of roughly US$10 billion. By structuring its US and European operations as separate legal entities, Traxys enables Arafura to satisfy origin requirements for both the EU and the United States. Some of the material could flow into the US Export-Import Bank’s Project Vault, a stockpiling programme designed to reduce American dependence on Chinese processing.

The pricing mechanism breaks with historical industry norms. Rather than impose fixed floors, Arafura has linked the terms to global indices such as S&P Platts North America and Benchmark Minerals Intelligence. That structure preserves upside for the producer if rare earth prices rally, while offering transparent conditions for the buyer.

Even with the new contract, Arafura’s binding commitments cover only 66 per cent of the planned annual production of roughly 4,440 tonnes of NdPr oxide. Lenders require 80 per cent coverage before releasing project funds. The shortfall amounts to about 1,200 tonnes. Management is in advanced talks with European customers for a further 500 tonnes, but a gap remains.

The company’s existing offtake partners already include Hyundai, Kia, Siemens Gamesa, and a separate agreement with Traxys Europe for up to 300 tonnes per year. The new North American deal brings Arafura closer to the bank threshold but does not yet eliminate it.

Project readiness is advancing in parallel. A camp with more than 200 rooms has already been purchased, allowing immediate mobilisation once a green light is given. A compensation agreement with the Nolans site lessor has also been concluded. Construction is expected to take 37 months, with first production targeted for the second half of 2029.

All financing conditions must be satisfied by December, or the commitments lapse. For Arafura, the combination of a strategic US offtake and a looming vote makes the next few weeks the most consequential in the company’s journey to becoming a Western counterweight in the rare earths supply chain.
