The market has handed Bayer a staggering 54% gain in just 30 days, propelling the stock to €53.04 – barely a whisker below its 52-week high. But this is no ordinary short squeeze. The surge reflects a rare confluence: a decisive legal victory at the US Supreme Court and a carefully orchestrated corporate reshuffle that hints at a far bigger strategic shift.

The US Supreme Court’s 7-2 ruling dealt a body blow to thousands of pending lawsuits. Consumers can no longer sue Bayer over missing cancer warnings on glyphosate if the federal Environmental Protection Agency does not require such a label. The decision overturned a $1.25 million verdict and, crucially, removes the legal foundation that had cost the group more than $10 billion in settlements over the years.

Yet the euphoria is not solely about the court. Bayer has quietly moved to restructure its US glyphosate business by creating a standalone subsidiary called Ruveon LLC, based in St. Louis. Officially still a wholly owned unit, Ruveon is designed to manage pricing, production and logistics independently as part of the broader Crop Science five-year plan. Analysts, however, see it as a Trojan horse.

Stefan Wulf at ODDO BHF argues that the separate legal structure makes a future sale or initial public offering far easier to execute. Bayer publicly denies any such intention, but the market is pricing in the possibility nonetheless. The combination of legal relief and a more flexible corporate vehicle has fed the rally’s ferocity.

Should investors sell immediately? Or is it worth buying Bayer?

Chart Flashes Caution, But Fundamentals Offer Support

The technical picture, however, is screaming overheated. The Relative Strength Index stands at an extreme 85.1, deep in overbought territory. The stock trades almost 43% above its 200-day moving average, and volatility has spiked to more than 63%. Such readings often precede a sharp correction. The gap between price and trend is so wide that any negative catalyst could trigger a violent unwind.

Bears point to the antidumping strategy as a double-edged sword. Bayer’s US subsidiary Monsanto filed a petition in late June seeking special tariffs on cheap Chinese glyphosate imports. The Commerce Department and the International Trade Commission are reviewing the request. If approved, it would protect Bayer’s position as the last remaining US producer of the herbicide. But the process is far from certain: the authorities may not even open a formal investigation, leaving structural pricing pressure in place. Meanwhile, Bayer’s management expects glyphosate sales to fall by between 2% and 6% this year, a forecast that hangs over the stock.

On the fundamental side, the company delivered a strong first-quarter earnings beat, convincing many that the worst is behind it. Just a year ago the stock was plumbing depths of €25.09. Yet the balance sheet remains a drag: net debt of €32.5 billion demands constant attention. Any slippage in operating margins could quickly turn the narrative sour.

Bayer at a turning point? This analysis reveals what investors need to know now.

Two Key Dates in August

The next concrete catalysts are now fixed. On August 4, Bayer publishes its half-year financial report. Investors will scrutinise cash flow and debt reduction progress above all. Then, on August 19, a court hearing is scheduled to rule on the final approval of a multi-billion-dollar class-action settlement related to the glyphosate litigation.

Until those events land, the market will remain fixated on the trajectory of the antidumping case and the potential for Ruveon to become more than just an internal reorganisation. The rally has rewritten the stock’s story in a month, but the next chapter will be written in numbers, not court orders.
