Bayer shareholders have been on a white-knuckle ride since late June, when a landmark US Supreme Court ruling sent the stock racing to a 52-week high of €53.86. But the euphoria has already faded: the shares closed at €47.67 on Wednesday, shedding nearly 6% in the past week alone and sitting roughly 11.5% below that July 3 peak. Market participants attribute the retreat to profit-taking after a blistering 33% gain over the prior 30 days — a move that lifted the stock by more than 25% year-to-date and by almost 72% over the trailing twelve months.

The rally’s catalyst remains the Supreme Court’s 7-2 decision in the Durnell case, which bars state-law claims that Bayer failed to warn consumers about cancer risks from Roundup and glyphosate. Bayer hailed the outcome as a historic step toward containing the litigation wave that has dogged the company since its Monsanto acquisition. Yet the ruling does not extinguish all legal exposure. Plaintiffs’ attorneys argue it only affects warning-label theories, leaving intact accusations of defective design and misrepresentation. That unresolved boundary — and a pending class-action settlement that Bayer can walk away from if too many plaintiffs opt out — continues to feed the stock’s elevated 30-day annualized volatility of 62.2%, a level rarely seen in a defensive DAX heavyweight.

Against this backdrop, Barclays analyst Charles Pitman-King issued an upgrade on July 14, raising his price target from €50 to €60 while maintaining an Overweight rating. The revised assessment reflects what the bank calls a “materially improved risk-reward profile” driven by the Supreme Court ruling and better second-half prospects in the crop-science division. At the current share price, the new target implies upside of roughly 25%. The note landed just before Bayer entered a quiet period on July 15, ahead of its half-year report due August 4. Investors will be watching that release for progress on debt reduction, free cash flow, and any visibility from the recently closed Apollo deal, under which Bayer sold a minority stake in its long-acting contraceptive business.

Should investors sell immediately? Or is it worth buying Bayer?

Structurally, Bayer is also preparing to carve out its US glyphosate operations into a separate subsidiary tentatively named “Ruveon.” The move echoes strategies used elsewhere in the chemical industry to wall off legacy mass-tort liabilities from the core operating business. If completed, the separation would mark a structural turning point for Bayer, insulating the rest of the group from future glyphosate-related claims.

From a technical perspective, the stock remains comfortably above its 200-day moving average of €38.00 — a premium of roughly 25.4% — and also sits well above the 50-day average of €40.83. The relative strength index of 58 signals neither overbought nor oversold conditions, suggesting the pause is a consolidation rather than a reversal. Still, with a market capitalisation of €48.26 billion and a volatility profile that has turned Bayer into a trader’s playground, the share price is likely to remain sensitive to each new development on the settlement opt-out rate and the next legal twist. The ultimate test is no longer the Supreme Court ruling alone, but whether Bayer can simultaneously close the settlement, dissolve the federal multi-district litigation, and complete the US carve-out — any stumble on one front could test the mettle of the rally.
