The restructuring saga at BayWa has taken a dramatic turn, with the Munich-based agricultural and energy group now fighting battles on multiple fronts. Criminal investigations into former executives have erupted just as a cornerstone of the company’s turnaround strategy—the planned partial sale of its renewable energy arm—crumbles under shifting US policy.

The Munich public prosecutor’s office has opened proceedings against former CEOs Klaus Josef Lutz and Marcus Pöllinger on suspicion of breach of trust and presenting false statements. The probe was triggered by a BaFin reprimand, which found that BayWa’s 2023 management report omitted critical details about a billion-euro loan and refinancing risks tied to a bond. The financial watchdog’s intervention has also ensnared auditor PwC, with Germany’s audit oversight body, Apas, launching a professional conduct review after PwC issued an unqualified audit opinion for the crisis year. BayWa plans to put the audit mandate out to tender from 2026 and is evaluating potential compensation claims, while a law firm is preparing shareholder lawsuits.

These legal headaches could not have come at a worse time. The company’s survival hinges on a standstill agreement with its core banking group, led by DZ Bank and HVB. Without that lifeline, management has no operational foundation. Of the €4 billion in financing needed through 2028, BayWa has secured only €1.3 billion. Market participants now view a debt haircut and creditor subordination as highly probable. The strain is already visible among the group’s closest financial partners: cooperative banks have had to write down 60% of a multi-million-euro Schuldschein loan for the current year, and the Bavarian Cooperative Association no longer rules out a total loss on those credits.

Should investors sell immediately? Or is it worth buying BayWa?

Compounding the financial squeeze, the planned 2028 partial sale of BayWa r.e.—once seen as a key pillar of the rescue—has been severely undermined by the expiration of US tax credits for wind and solar projects. Management now expects the renewables unit to generate an operating profit of just €150 million by 2030, a sharp downward revision from earlier forecasts. The €1 billion valuation once hoped for the stake sale is now widely viewed as unrealistic.

The board is navigating this restructuring blind. The full-year forecast has been withdrawn, and the adjusted operating profit target for 2027 has been slashed to around €140 million. Around 1,300 jobs are being cut, though the company reports initial cost savings from the elimination of roughly 700 positions so far. The complexity of the restructuring means the audited 2025 consolidated financial statements will be delayed until deep into the fourth quarter of 2026—far past the original April 30 deadline.

Investors are voting with their feet. The stock tumbled more than 9% on Thursday to €13.05, bringing year-to-date losses to 22%. The shares now trade well below their 50-day moving average of €15.33. In the secondary article, the stock was noted at €14.20 with a 15% year-to-date decline, but the most recent trading data shows a steeper drop.

The coming weeks will be decisive. The core banks must decide whether to extend the standstill agreement. If they approve, BayWa buys time until autumn 2026. If they reject it, the current restructuring plan loses its foundation immediately, and a liquidity crunch in the agricultural and building materials divisions becomes all but inevitable.
