European Lithium is barrelling toward the finish line of its all-share takeover by Critical Metals Corp, with a shareholder vote set for the final days of August. If the scheme receives approval and court sanction, the transaction will be sealed in early September 2026, folding the remaining bits of the Australian-listed company into a NASDAQ-quoted critical minerals vehicle.

At the heart of the deal is the Tanbreez project in Greenland, a deposit rich in heavy rare earth elements. Critical Metals already owns the majority of the asset but needs European Lithium’s 7.5% stake to gain full control. That minority interest, however, comes with a powerful sweetener: European Lithium held roughly A$306 million in cash as of March 31. The capital is earmarked to accelerate Tanbreez development at a time when Western markets are scrambling for secure rare earth supply chains.

The merger is structured as a court-approved scheme of arrangement under Australian law. A binding Scheme Implementation Deed was signed in May. The key document — the Scheme Booklet — is nearly finished and will be dispatched to shareholders in late July. Inside it, independent expert Nexia Perth Corporate Finance will deliver its opinion on whether the terms are in the interests of European Lithium’s equity and option holders. The vote itself is scheduled for the last week of August.

Meanwhile, the company’s stock has been on a tear that few small-cap miners can match. Year-to-date, the gain stands at about 173%.

The technical picture suggests the move is not overheated, despite the magnitude of the advance. The relative strength index sits near 52, a neutral reading that implies neither the bulls nor the bears have the upper hand in the short term. Annualized volatility, however, is a hefty 81%, promising more violent swings as the vote approaches and the merger reaches its conclusion.

For shareholders, the immediate task is straightforward: wait for the Scheme Booklet to land in late July, study the independent valuation and the transaction terms, and then cast their ballots in August. If everything clears, the deal will be consummated in early September, creating a simplified ownership structure centred on the Wolfsberg lithium project in Austria and, more critically, the Tanbreez rare earth deposit in Greenland.

The strategic prize is clear. Critical Metals secures full ownership of a rare earth project that is all but unique outside China, while gaining access to a substantial cash war chest to fast-track development. European Lithium investors, in turn, receive shares in a larger, U.S.-listed entity with a cleaner balance sheet and a single-minded focus on critical minerals. The countdown is on.
