Critical Metals Corp, the Nasdaq-listed company that is set to absorb European Lithium, has hired investment bank Clear Street to conduct a portfolio review — a move that casts the future of European Lithium’s Austrian Wolfsberg lithium project into doubt. The review, announced July 9, will examine non-Greenland assets with an eye to maximising shareholder value through a joint venture, spin-off, or outright sale. The decision underscores a strategic pivot by Critical Metals toward its flagship Tanbreez rare earth deposit in Greenland, where it holds 92.5% of a resource estimated at 4.7 billion tonnes and a net present value of roughly $3 billion. That project recently secured a $120 million financing commitment from the US Export-Import Bank.

Simultaneously, European Lithium is retooling the mechanics of its own takeover by Critical Metals. Shareholders who were originally slated to receive CHESS Depositary Interests will now get direct common shares in the combined entity. For those holding 50,000 or fewer securities, a new sell facility allows an appointed agent to liquidate the Critical Metals shares on the open market and remit the net cash proceeds — an option that lets small investors avoid holding the acquirer's stock entirely. The merger remains on track for completion in September 2026, with European Lithium shareholders expected to own approximately 41% of the outstanding common stock after the deal closes.

The stock has reacted positively to the twin developments. Following the merger-structure news, European Lithium climbed 3.37% to €0.21. A second leg higher came Friday, when shares advanced 5.54% to €0.22, pushing the company’s market capitalisation to €377.02 million. The rally stands in sharp contrast to the underlying lithium market: Chinese reference prices fell 2.21% on July 10 to ¥155,000 per tonne and are down nearly 7% over the past month. Yet European Lithium’s longer-term performance remains formidable. The stock has gained 134.98% since the start of 2026 and 458.59% over the past twelve months.

Should investors sell immediately? Or is it worth buying European Lithium?

Technical data paint a mixed picture. The 14-day relative strength index sits at 38.7, suggesting no overbought conditions. The stock currently trades 14.62% below its 50-day moving average of €0.26 but 36.74% above its 200-day average of €0.16. From the year-to-date high of €0.31 reached on June 2, the shares remain 28.31% off. The fact that the price still stands well above the 200-day line indicates sustained investor appetite as the company approaches the critical merger vote.

For Wolfsberg, the Clear Street review marks a pivotal moment. Critical Metals has clearly shifted focus to Greenland, where Tanbreez offers a multi-element deposit and a faster path to near-term cash flow. That leaves the Austrian lithium asset — European Lithium’s original core project — in a state of limbo as management weighs its options. A timeline for the review’s conclusion has not been provided. Meanwhile, European Lithium shareholders will receive the formal Scheme Booklet by the end of July or early August, containing an independent expert’s report and the full details of the restructured stock deal. The subsequent shareholder and option-holder vote, required under Australian law, will determine whether the merger proceeds on schedule.
