The dilution is not limited to the DZYNE deal: Ondas is also seeking shareholder approval to increase its authorized share count from 800 million to 1.2 billion, a move management says is needed to maintain flexibility for a pipeline of more than 25 potential acquisition targets.

Ondas has created a new unit called Ondas Sentinel to integrate DZYNE’s autonomous defense platforms — including the ULTRA long-range drone and the IonStrike counter-system — with its existing technology base and AI-powered mission partnerships. DZYNE brings with it an estimated $1.5 billion addressable order pipeline and a current backlog of roughly $111 million.
