Quantum eMotion has shifted from a decade-long research project in Montreal to a company booking its first commercial revenue, but the transition comes with a governance test that could reshape how it rewards talent. Today, shareholders cast ballots on a proposal to replace the fixed stock option pool with a rolling plan that would reserve up to 10% of outstanding shares at each grant date.

The board’s move in May reflects the tension between flexibility and dilution. The current fixed pool of 24.75 million shares would give way to a dynamic ceiling that expands with every capital raise. At the time of the circular, the new limit would have equated to roughly 21.9 million shares — slightly less than the 24.75 million ceiling, but with 17.3 million options already outstanding (about 7.9% of shares), the headroom is tightening. The revised plan also adds a cash settlement option and aligns with TSX Venture Exchange rules, bringing the compensation structure in line with market standards.

The vote comes as Quantum eMotion builds momentum on multiple commercial fronts. In the first quarter it recorded its first-ever revenue from a commercial customer: a modest C$10,582, against a net loss of C$3.59 million. That milestone was followed by the full acquisition of California-based SKV Technology, whose SecureKey platform adds an authentication layer to the company’s chip-level quantum random number generators. The strategy is vertical integration — combining hardware and software into a single security product aimed at IT networks and IoT devices.

Partnerships are broadening the addressable market. A memorandum of understanding with Vertical Data targets quantum cybersecurity for AI infrastructure, specifically GPU clusters in data centers that are prime targets for real-time cryptographic attacks. Meanwhile, Quantum eMotion is deepening ties with SEETEL New Energy and Aegis Critical Energy Defence to embed quantum-safe technology into battery storage systems. Validated installations in Taiwan are already in place, and the focus now shifts to government and industrial customers in North America.

The stock market has taken note. Shares recently traded at €2.78, up about 2% on the day of the vote and more than 17% over the past 30 days. Over the past year the price has more than tripled, though it remains 30% below the February peak of €3.98. The annualised volatility of 85% underscores the news-driven nature of the name — a factor that makes the compensation debate particularly relevant. Both short- and long-term moving averages sit below the current price, signalling near-term strength, while the relative strength index of 53.5 suggests the stock is neither overbought nor oversold.

The broader market backdrop supports the thesis. The post-quantum cryptography segment is forecast to reach $17.7 billion by 2034, growing at over 41% annually. That tailwind, combined with national investments in quantum infrastructure, gives Quantum eMotion a strategic narrative that has already lifted the stock from its 52-week low of €0.61. The question now is whether the first commercial revenue and the string of partnerships can convert memoranda into hard contracts.

If the options plan is approved, the rolling 10% model will take effect, pending regulatory sign-off. If it fails, the fixed pool remains and the board will need to regroup. Either way, the vote is a clear signal of how much dilution investors are willing to stomach as the company burns cash to scale its quantum-safe offerings into the AI and energy sectors.
