Redwood AI Draws $3.5M From Single US Investor as Shares Languish Near Floor

A single institutional backer from the United States has handed Redwood AI Corp. a $3.5 million cash injection, even as the Canadian artificial intelligence company's stock wallows just above its lowest point in a year. The private placement closed on July 21, mere days after the shares scraped a fresh 52-week trough.
The Vancouver-based firm issued 1,663,000 special warrants at $2.11 apiece to the unnamed investor, with Maxim Group LLC serving as exclusive placement agent. Each warrant automatically converts into one unit comprising a common share and a purchase warrant, the latter allowing the holder to buy an additional share at $2.48 over the next 60 months.
A contractual clause adds a layer of urgency for existing shareholders. Should Redwood AI fail to file a qualifying prospectus supplement within 90 days of closing, the conversion ratio shifts — each warrant would then yield 1.10 units instead of one, deepening the dilution.
The capital arrives as Redwood's stock endures a brutal stretch. The shares closed Wednesday at €1.09, barely a cent above the 52-week low of €1.06 set the prior day. That marks an 83.6% collapse from the year's peak of €6.66 reached in late April. The 14-day relative strength index sits at 14.7, deep in oversold territory, while annualized 30-day volatility remains elevated at 82.3%.

The company plans to channel the fresh funds into working capital and general corporate purposes, with a particular focus on supporting its acquisition strategy. At the center of that push sits the planned takeover of Quantum.IQ Technologies, a specialist in quantum-resistant cybersecurity software designed to shield government agencies, defense contractors, financial institutions and critical infrastructure operators from future quantum-computing threats.
That deal was originally slated to close around July 10 but remains pending, hung up on outstanding approvals from the Canadian Securities Exchange and other customary conditions. If completed, the acquisition would pivot Redwood AI beyond its core business of using artificial intelligence to accelerate chemistry research for pharmaceutical and chemical synthesis, adding cryptographic security technology and enterprise infrastructure to its portfolio.
A glimmer of positive news arrived earlier this month when Redwood AI earned a spot in the CSE25 index, which tracks the 25 largest companies on the Canadian Securities Exchange by market capitalization. Yet that milestone has done little to arrest the share price slide.
