Redwood AI’s $3.5M Cash Injection Comes With a Dilution Time Bomb

The clock is ticking for Redwood AI Corp. The Vancouver-based artificial intelligence company closed a $3.5 million private placement with a single US institutional investor on July 21, but the fine print contains a clause that could further punish existing shareholders.
If Redwood fails to file a qualifying prospectus supplement within 90 days of the closing, each special warrant issued in the placement will automatically convert into 1.10 units rather than 1.0 — an extra dilution penalty that has markets on edge. The stock, which changed hands at €1.09 on Thursday, sits barely above its 52-week low of €1.06, a level it touched just two days earlier.
The placement saw Redwood issue 1,663,000 special warrants at $2.11 apiece. Each warrant converts into one unit consisting of a common share plus a purchase right exercisable at $2.48 over 60 months. Maxim Group LLC served as exclusive placement agent. The company says the proceeds will fund working capital and support development of its AI software for the chemistry and pharmaceutical sectors, with CEO Louis Dron also pointing to expansion into defense and public security applications.

Yet the market’s reaction tells a different story. The stock has shed nearly 30% over the past seven days and 37.71% on a monthly basis. Thursday’s 4.57% bounce to €1.15 offered a brief respite, but the shares remain roughly 83% below the year’s high of €6.66 set on April 28 and trade more than 52% below the 50-day moving average of €2.40.
Technical readings paint a picture of extreme overselling. The 14-day relative strength index came in at 19.0 in one reading and as low as 14.6 in another — both deep below the 30 threshold that typically signals a potential reversal. With annualized 30-day volatility running at 83.23%, daily swings of several percentage points are the norm rather than the exception.
Redwood’s market capitalization stands at roughly €68 million. The company recently earned a spot in the CSE25 index, which tracks the 25 largest companies on the Canadian Securities Exchange by market cap. The inclusion should boost visibility among institutional investors, but it has done little to arrest the slide so far.
The 90-day window for the prospectus supplement began on July 21. Until that deadline arrives — or the company files the necessary paperwork — the threat of additional dilution will hang over the stock regardless of how the underlying business progresses. The fresh capital buys operational breathing room, but the real test will come with the next quarterly results.
