Redwood AI Corp. has locked in the pricing of a private placement at $2.11 per special warrant, a level that stands in stark contrast to the stock’s current market value. The Vancouver-based company will issue 1.663 million special warrants to a single U.S. investor, raising gross proceeds of roughly $3.5 million. Yet on the same day the pricing was announced, shares tumbled 23.87% to close at €1.18 — a fresh 52-week low and a clear signal that the market is already pricing in the dilution to come.

Each special warrant converts into a unit consisting of one common share and a five-year warrant exercisable at $2.48. Maxim Group LLC acts as the exclusive placement agent. The transaction is expected to close on July 20, 2026, pending approval from the Canadian Securities Exchange. Redwood says it will use the net proceeds for working capital and general corporate purposes, without specifying any allocation for product development or the pending Quantum.IQ acquisition.

The placement price sits well above the stock’s recent trading levels. At Friday’s close, the shares were trading more than 57% below their 50-day moving average of €2.78 and have shed over 82% from the 52-week high of €6.66 reached on April 28. The 14-day relative strength index stands at 15.6, deep in oversold territory, while the 30-day annualized volatility has surged to 81.48%. The technical picture suggests a market gripped by extreme nervousness, with little appetite for the additional shares that will eventually flood the float.

Despite the strategic logic of the acquisition, neither the takeover nor earlier investor campaigns have managed to arrest the stock’s slide. The combination of a beaten-down share price and a dilutive placement is a familiar recipe for further pressure in thinly traded small caps.

The $3.5 million round is dwarfed by the torrent of capital flowing into the broader AI sector. Fireworks AI recently closed a $1.505 billion Series D at a $17.5 billion valuation, while Databricks is negotiating a multi-billion-dollar round. Gorilla Technology placed $125 million in convertible senior notes. Redwood’s modest financing underscores that even in a frothy environment for AI, not every player shares in the euphoria. All eyes now turn to the CSE’s decision on the placement and to whether the fresh cash — and the dilution it brings — will be judged a worthwhile trade-off once the Quantum.IQ deal is complete.
