Redwood AI Corp. faces a punishing week as two simultaneous dilution channels hammer its stock. Adding to the dilution overhang is the company’s planned acquisition of Vancouver-based Quantum.IQ Technologies Inc. As consideration for that deal, Redwood intends to issue 14,033,558 common shares. Of those, 7,033,558 base shares will be released from escrow over 24 months, while up to 7,000,000 more are tied to revenue milestones — $2 million, $10 million, and $20 million in annual sales — each linked to a minimum 10% EBITDA margin.
The stock’s decline has been steep and sustained. Over the past week, shares have shed 30.59%; over 30 days, 35.69%. From the 52-week high of €6.66 on April 28, Redwood has now lost 82.28% of its value. The sell-off gained momentum even after the company announced the Quantum.IQ acquisition, secured DTC eligibility, and spent over C$1 million on investor relations campaigns — notable expenditure for a firm of its size.
