Redwood AI Corp. is pursuing a two-pronged transformation: a $3.5 million private placement to replenish working capital and a binding deal to buy Vancouver-based Quantum.IQ Technologies Inc., a developer of AI-driven quantum cybersecurity software. Both transactions hinge on regulatory sign-offs, and both are unfolding against a backdrop of severe share-price erosion that has left the stock trading at a fresh 52-week low.
The company has locked in terms for the placement, with a U.S. institutional investor agreeing to purchase 1,663,000 special warrants at $2.11 apiece. Each warrant will automatically convert into one unit consisting of a common share and a purchase warrant, with no action required from the holder. Closing is slated for July 20, 2026, pending approval from the Canadian Securities Exchange (CSE). Proceeds are earmarked for working capital and general corporate purposes, according to the company. Maxim Group LLC is acting as placement agent.
Separately, Redwood has submitted a preliminary short-form base prospectus to Canadian securities regulators. Once that document receives final clearance, a prospectus supplement will be filed to govern the issuance of the shares underlying the special warrants.

The company already signed a definitive purchase agreement for Quantum.IQ Technologies, a Vancouver firm specializing in AI-powered quantum-resistant encryption, cryptographic intelligence, and infrastructure security. The acquisition consideration includes up to 14,033,558 common shares valued at roughly $2.98 per share, comprising 7,033,558 base shares and up to 7 million additional milestone shares tied to customer, revenue, and EBITDA targets. Completion remains subject to customary closing conditions and regulatory approvals.
Earlier, Redwood was also added to the CSE25 index, a milestone that came amid the share deterioration. The company’s market capitalization now stands at approximately €68 million.
For investors, the near-term focus is on two events: CSE clearance for the private placement and any update on the Quantum.IQ closing timeline. The placement would bring immediate cash relief, but the eventual conversion of the special warrants into shares will expand the float, likely adding dilution pressure. The quantum acquisition, meanwhile, would reposition Redwood’s technology platform but also requires a final nod from regulators. With the stock already at extreme technical oversold levels and volatility elevated, the coming days could prove decisive for the direction of both the share price and the company’s future business mix.
