Renk shares have bounced from a heavy block trade, gaining 4.1% to €47.35 after main shareholder KNDS sold 5.8 million shares in an accelerated bookbuild. But the defence contractor's next test awaits the annual general meeting on 10 June, where investors will vote on a 38% dividend increase and a new chairman for the supervisory board.

KNDS placed the 5.8 million shares — equivalent to 5.8% of Renk's capital — at around €45.00 apiece on Wednesday, raising a figure in the mid-three-digit million range. The Franco-German armoured vehicle maker said the move strengthens its own balance sheet ahead of its planned initial public offering. After the transaction, KNDS retains roughly 10% of Renk and is subject to a 180-day lock-up, with settlement due on 22 May.

The stock's resilience despite the overhang signals that investors view the disposal as a financing-driven move rather than a vote of no confidence in Renk's operations. Analyst sentiment remains constructive. mwb research upgraded the stock to "Buy" on 13 May with a €53 target, a stance it maintained after the block trade. Warburg Research sees the shares at €63, while Deutsche Bank sets a more ambitious €73.

Renk's underlying numbers support such bullishness. In fiscal 2025, revenue climbed by just under a fifth to €1.37bn, while adjusted EBIT rose to €230m, translating into a 16.9% margin. Net profit doubled to €101m. The order book provides further ballast: at the end of the first quarter of 2026, total backlog stood at €6.9bn, with firm orders at €2.6bn. Crucially, more than 90% of planned 2026 revenue is already under contract.

For the current year, management targets revenue above €1.5bn and adjusted EBIT in a range of €255m to €285m. Beyond that, the company aims to lift revenue to as much as €3.2bn by 2030 while pushing the adjusted EBIT margin above 20%. To meet that ambition, Renk is expanding capacity in India, Eastern Europe and Italy, and plans to ramp up gearbox production in Augsburg from around 700 units a year to more than 1,800.

The dividend proposal for 2025 — €0.58 per share, up 38% from the prior year — aligns with a long-term payout target of 40% to 50% of adjusted net income. Shareholders will vote on the proposal at the virtual AGM.

Alongside the dividend, the meeting will decide on a governance change. Dr. Klaus Richter is proposed for election to the supervisory board and, if selected, is expected to take the chair. Claus von Hermann has requested to step down at the conclusion of the meeting.

Management continuity is also in focus. The supervisory board early extended CEO Dr. Alexander Sagel's contract, which now runs until the end of March 2032. Sagel took the helm in February 2025 and is driving the expansion plan.

Yet the share price remains under pressure. At €47.88 at the last close before the block trade, the stock still trades roughly 46% below its 12-month high. While the seven-day performance shows a 7.65% gain, the one-month view still shows a 13.73% decline. The relative strength index at 79.1 suggests the short-term recovery may be losing steam, and cautious sector comments from peers such as Rheinmetall have tempered enthusiasm for defence stocks.

With the KNDS share sale now behind it and the 180-day lock-up limiting further overhang, the AGM becomes the next focal point. The combination of a dividend hike, a new supervisory board chair and a solid order book gives Renk a narrative of growth and governance renewal — but the market will be watching for evidence that the execution on the ground matches the ambition.
