The euphoria that propelled Rocket Lab USA’s stock to a 52-week high of $151 on May 28 evaporated within days, leaving the shares trading around $123 after a single-session slide of 14.8% on June 1. Behind the retreat lies a familiar story: insiders taking chips off the table just as the broader space sector confronts fresh turbulence.

Insider gifts and market sales

Chief Financial Officer Adam Spice transferred 188,172 shares via gifts to trusts of which he is the trustee on May 29 and June 1. The transactions, valued at zero dollars for reporting purposes, left Spice with 920,325 shares directly and another 250,000 held indirectly. Director Edward H. Frank also moved 182,746 shares, roughly half into a family trust, reducing his direct stake to 53,613 shares.

While gifts are not sales, they arrive alongside real market disposals by other executives. Over the past 90 days, insiders have sold a combined 524,120 shares worth approximately $67.7 million. Some strategists warn of a “sell the news” reaction that could hit smaller operators like Rocket Lab hardest.

Deutsche Bank raised its target from $73 to $120, Needham & Co. followed suit with $120, and Cantor Fitzgerald reaffirmed an “Overweight” rating. The gap between the May high and analyst expectations underscores the fragile bet the market is making on Rocket Lab’s execution.
