The Swedish photonics and chip specialist wrapped up a directed share issuance on July 1, placing roughly 12.28 million new shares at SEK 57 each, a discount of nearly 9.7% to the Nasdaq Stockholm close on June 30. The offer was multiple times oversubscribed, with both Nordic and international institutional investors participating. Two days later, on July 3, lender Bootstrap Europe exercised its conversion right on a $12 million outstanding loan, receiving nearly 22.85 million new shares at SEK 4.77 — a fraction of the directed issue price. Sivers settled the debt without cash outlay, simply offsetting Bootstrap's claim.

The combined dilution has been severe. Total outstanding shares stood at 319,953,572 on June 30, swelling by more than 35 million in a matter of days. Chief executive Vickram Vathulya framed the moves not as distress but as proof of growing investor interest in Sivers’ target markets: artificial intelligence, satellite communications, and defense. The fresh capital, he said, allows the company to invest proactively in indium phosphide photonics manufacturing capacity, where equipment lead times are long.

Technically, the stock is trading 15.6% below its 50-day moving average of €6.16. The 14-day relative strength index sits at 41.2, a neutral reading that underscores the recent weakness. With an annualized 30-day volatility of 213.56%, Sivers remains one of the most unstable names in the small-cap space.
