The clock is ticking toward a pivotal moment for Sivers Semiconductors. On August 27, the Swedish chipmaker will release its second-quarter results, and in the run-up, a regulatory blackout period kicks in on July 28 that bars executives from trading shares until the numbers hit the wire. The timing is anything but routine: the stock has just endured one of the most brutal stretches in its history, shedding roughly 72 percent from its early-June peak of €10.23 to close at €2.83 on Friday.

That session alone saw the equity drop 6.35 percent, extending a month-long rout that has erased nearly two-thirds of shareholder value. The slide has been driven by a wave of insider selling triggered by the expiration of lock-up agreements tied to an April capital raise. Under those terms, board members and management had pledged not to unload shares until July 16. Once the restriction lifted, they moved quickly.

Chairman Bami Bastani was among the most active. He donated 60,000 shares to charitable organizations, gifted 70,000 to family members, and sold another 275,000 on July 16. After those transactions, Bastani holds 381,360 shares, of which 11,360 are subject to a fresh one-year lock-up. Director Todd Thomson also reduced his position substantially. Through his personal investment vehicle Headwaters Capital, he sold 950,000 shares by July 22 and donated another 50,000 to a charity. Thomson remains the largest insider shareholder with 477,027 shares. Separately, Kairos Ventures, the fund Thomson represents on the board, sold its stake acquired through the 2022 Mixcomm acquisition after the fund’s investment committee opted to distribute proceeds to investors.

Should investors sell immediately? Or is it worth buying Sivers Semiconductors?

The selling pressure has pushed the stock well below the pricing of recent capital raises. In early July, the company placed roughly 12.3 million new shares at 57 Swedish kronor each, raising around 700 million kronor from institutional investors. That price was already set at a 9.7 percent discount to the June 30 close. The current euro-denominated price of €2.83 now sits far below both the 50-day moving average of €5.95 and the 100-day average of €4.03, underscoring how dramatically sentiment has shifted since the placement.

Not all insiders are heading for the exits. CEO Vickram Vathulya bucked the trend by purchasing 70,000 additional shares, bringing his total holdings to 4,540,076 shares plus 3.7 million employee options. The company has sought to reassure investors, noting that executives with management responsibilities continue to hold significant personal stakes and remain committed to the long-term strategy.

The upcoming blackout period, mandated under Article 19(11) of the EU Market Abuse Regulation, will at least remove one source of selling pressure for the next month. Sivers has also adjusted its reporting calendar to prepare for future regulatory requirements and PCAOB audit standards in the U.S., part of its push toward a dual listing. The full-year schedule now shows Q3 results due November 26 and Q4 on February 25, 2027.

With the stock now trading at roughly 72 percent below its 52-week high, the 14-day relative strength index of 35.3 is approaching oversold territory, though no clear reversal pattern has emerged. The August 27 report will be the first real test of whether operating performance and any update on the U.S. listing plans can stabilize a stock that has lost its footing in spectacular fashion.
