The board of Sivers Semiconductors has sent an unusual signal to the market. Five days before a management lock-up period was due to expire — a moment when insiders might typically sell — five directors and the chief executive instead bought shares and agreed to hold them for at least twelve months. The purchases, completed on July 13, come as the Swedish chip developer's stock has lost more than half its value over the past month.

Bami Bastani, Karin Raj, Helena Svancar, Todd Thomson and Joakim Nideborn — all board members — exercised share purchases authorized at the June annual general meeting. CEO Vickram Vathulya also added to his personal stake. Sivers said the move is designed to align management interests with shareholders during a period of deep structural change. The restriction that the new shares cannot be sold for a full year makes the gesture more than a short-term bet.

The insider buying lands at a moment of intense operational upheaval. Sivers has pushed back its second-quarter earnings report for the second time this year, now targeting August 27. The reason is a sweeping overhaul of its financial controls to meet standards set by the US Public Company Accounting Oversight Board, a prerequisite for a planned secondary listing on the Nasdaq. The company has already switched its accounting to US GAAP and is working on restating consolidated results for 2024 and 2025.

Should investors sell immediately? Or is it worth buying Sivers Semiconductors?

Separately, Sivers has been aggressively shoring up its balance sheet. It converted a $12 million credit facility into equity after lender Bootstrap Europe IV SCSp exercised its conversion rights on July 3, issuing roughly 22.8 million new shares. That was followed by a directed share issue of 12,280,701 ordinary shares at SEK 57 apiece, raising nearly SEK 700 million through an accelerated bookbuild. The offering was multiple times oversubscribed, attracting both Swedish and international investors. Proceeds are earmarked for expansion in AI data centers, satellite communications, and defense.

These moves have diluted existing shareholders, but they also strengthen the equity base ahead of the Nasdaq listing, which Sivers hopes to complete around the turn of the year.

The stock has endured a brutal rout. From a 52-week high of €10.23 reached on June 3, the shares have fallen roughly 63%, closing Monday at €3.73 before edging 1.9% higher to €3.80 on Tuesday. Over the past 30 days, the decline stands at almost 54%. The 50-day moving average of €6.18 remains far above the current price, though the 100-day average of €3.79 sits almost exactly at Tuesday's close. The 14-day relative strength index of 37 points to oversold territory, while annualized 30-day volatility of around 154% underlines the elevated trading risk.

Analysts and market watchers are now focused on whether the pace of change at Sivers can justify the board's newfound conviction. The company holds a reported order backlog of roughly $800 million and expects delivery volumes to accelerate from 2027. The delayed second-quarter results on August 27 will be the first real test of whether those ambitions are backed by hard revenue data. For the moment, the insider purchases suggest that those closest to the business see the bottom — even if the larger market remains unconvinced.
