ams-OSRAM has found a buyer for one of its last remaining non-photonics operations. The Elmet Group Co., acting through newly formed German subsidiary Elmet Technologies GmbH, will take over the tungsten and molybdenum production site in Schwabmünchen, with closing targeted for the first quarter of 2027 and subject to customary regulatory clearances.

The transaction itself is modest. Its significance lies in what it says about the direction of travel at the Austrian sensor and lighting group, which has spent the past year shedding businesses that sit outside its semiconductor and photonics core.

Schwabmünchen joins a roster of exits that already includes non-optical sensor operations and CMOS image sensor activities — deals either closed or signed. When management reported second-quarter figures in early August, it pointed to progress on disposals as a central plank of its deleveraging plan. The tungsten and molybdenum line, being non-photonic, had long been earmarked as peripheral under that logic.

What remains is execution. And execution is where the bull and bear cases now diverge.

The balance sheet is doing two jobs at once

In parallel with the sales programme, ams-OSRAM has been refinancing. The company placed new senior notes worth over one billion euros at a 7.25% coupon, a move intended to bring annual interest costs down. Total liquidity, including a revolver facility, stands at 1.5 billion euros and is projected to climb to 2.1 billion euros once further divestments complete.

That capital has to serve two masters: repairing the balance sheet and funding growth in the core. The 7.25% coupon on those notes suggests the market still attaches a credit premium to the company, a reminder that the refinancing is not yet a victory lap.

Design wins are piling up, but the revenue lag remains

The most persuasive argument for the bulls sits in the order book. ams-OSRAM booked more than 1.6 billion euros in new design wins during the second quarter of 2026 alone, taking the first-half total to roughly 2.5 billion euros. If that intake holds, it should feed through to revenue with a delay and could underpin — or surpass — the 770 million to 870 million euro sales range the company has pencilled in for Q3.

Second-quarter revenue came in at 805 million euros with adjusted EBITDA of 136 million euros, giving management a stable base from which to guide. The wide Q3 band, however, is itself a tell: the company is not yet working from a settled operating environment.

Leadership locked in, but not a fresh catalyst

Personnel continuity is settled. The supervisory board confirmed in late July that CEO Aldo Kamper's contract would be extended, running from 1 October 2026 through 30 September 2031. The decision removes a layer of uncertainty for investors during a period of deep structural change, though it had been in the works for some time and should not be read as a new signal.

Where the technology story is being told

While the corporate reshaping grinds on, ams-OSRAM is keeping its engineering credentials on display. At CIOE 2026 in Shenzhen, running through 11 September, the group is showing more than 20 photonics and sensor demonstrations focused on edge AI, MEMS and intelligent sensing. At Automechanika Frankfurt, open until 12 September, it is presenting its automotive aftermarket portfolio under the "Be Road Ready" banner, including new LED retrofit solutions aimed at workshops and roadside assistance.

Separately, the company said in late August that its digital photonics technologies are designed to help humanoid robots with perception, object manipulation and communication — a sign it intends to push its sensing expertise into growth markets beyond traditional automotive and lighting.

The market is not celebrating yet

None of this has moved the stock much. The shares changed hands at 19.60 euros on Wednesday, roughly 2.6% above the 50-day average of 19.10 euros, a spread that points to a tight trading range rather than a breakout. The paper remains about 27% below its May high of 26.70 euros.

Set against the December low of 7.38 euros, though, the re-rating has been dramatic — a reflection of how thoroughly the market's view of the company has shifted on the promise of a leaner, more focused business. An annualised volatility of 58% shows that investors are still pricing in plenty of uncertainty along the way.

What to watch

The single transaction in Schwabmünchen is not the story. The story is whether cash released by the disposals and the refinancing flows into profitable growth in the core, or is absorbed mainly by debt reduction. A design-win pipeline that stays at current levels, combined with disposals that close on schedule, would give investors a coherent growth narrative. A slowdown in orders, or a Schwabmünchen closing that slips past the first quarter of 2027 and delays the expected liquidity build to 2.1 billion euros, would undercut the case for near-term margin expansion.

The next hard test arrives with the Q3 2026 results, when it becomes clear whether the sales and margin targets are being met — and whether those billions in design wins are finally showing up in the numbers.
