ams-OSRAM Ties Convertible Buyback to Asset-Sale Closings

The repurchase is to be funded from proceeds of portfolio disposals the Austrian sensor and semiconductor maker had already lined up, and it marks the latest stage in a broader effort to slim down both its balance sheet and its business footprint.
The offer opens on 15 October 2026 and runs for 23 trading days, closing on 16 November 2026. The headline figure of EUR 143 million is not guaranteed, however. Should the sale of the CMOS image sensor business to Ay Dee Kay Limited fail to complete in full by the closing date, the maximum repurchase volume drops to EUR 118 million. The company said the sum on offer also reflects estimated purchase price adjustments.
The CMOS divestment sits alongside an earlier agreement to sell the non-optical analog and mixed-signal sensor business to Infineon, with both transactions forming the guarantee assets backing the buyback.
A Market That Shrugged
Investors gave the announcement a muted reception. The shares fell 3.0% on Wednesday to close at EUR 22.60. Notably, no direct causal link between the capital measure and that same-day price move has been established — a distinction worth keeping in mind given how readily such declines get attributed to the nearest headline.

Even after the pullback, the stock has still racked up a gain of 168% since the start of the year, a run that has kept attention fixed on management's turnaround narrative.
Photonics Takes Center Stage
That narrative rests heavily on photonics. On 1 July 2026, ams-OSRAM carved out dedicated business units for Digital Photonics, a structure designed to speed the scaling of its innovation pipeline. The reorganization has since been matched by technical progress: on 22 September the group disclosed a breakthrough in thin-film VCSEL technology aimed at AI data-center applications. Working with partner BizLink, it demonstrated multi-core fiber transmission delivering error-free operation at 32 Gb/s with an energy efficiency of roughly 0.25 pJ/bit.
The Numbers Behind the Pivot
Operating momentum has been building in parallel. Revenue for the second quarter of 2026 rose 3.9% year on year to EUR 805 million, while the adjusted EBITDA margin came in at 16.9%, equivalent to adjusted operating earnings before interest, taxes and depreciation of EUR 136 million. The core semiconductor business expanded 13% on a comparable basis, carried by the automotive and industrial segments.
For the third quarter of 2026, management has guided to group revenue of between EUR 770 million and EUR 870 million, with an adjusted EBITDA margin of 16.0%, plus or minus 1.5 percentage points.
Jefferies Lifts Its Target
Analysts have taken note of the repositioning. Jefferies raised its price target on ams-OSRAM to CHF 25.50 on 23 September, according to dpa-AFX, lifting the figure from CHF 21 while keeping a buy rating on the stock. With the tender now in play, market participants will be watching the company's upcoming specialist presentations for further signals on how the deleveraging and the photonics build-out fit together.
