Bayer Juggles Quarter-Watch, Courtroom Risk and Fresh Funding as Shares Ease

Bayer stock dropped 5% on Oct 1 as analysts flagged ambitious Q3 forecasts. The company is managing legal challenges while expanding its pharma portfolio.

Bayer’s stock was under pressure on Thursday, with the share price falling 5.0 percent to EUR 45.38, even as investors digested a mix of analyst caution, legal uncertainty and fresh corporate updates. The latest move came after JPMorgan flagged that expectations for the third quarter may have run ahead of reality, while media reports pointed to profit-taking after earlier gains and lingering concern over US litigation.

JPMorgan analyst Richard Vosser said early market forecasts for the third quarter looked too ambitious, blaming the gap mainly on timing effects in the crop business. Even so, he kept his rating on the shares at “Overweight” with a price target of EUR 61.

Deutsche Bank Research had already struck a restrained tone on Tuesday. Analyst Virginie Boucher-Ferte forecast moderate operating sales growth of 1.3 percent year on year for the third quarter, but also expects operating profit to fall 10 percent. Her rating stayed at “Buy”, with a price target of EUR 60. Bayer is due to publish its official third-quarter report on 3 November 2026.

The legal backdrop remains just as important for investors. On Monday, a federal judge in Delaware rejected motions from Pfizer, BioNTech and Moderna to throw out Monsanto patent claims tied to mRNA technology at an early stage. The case stays alive for now, although the validity of the patents and any alleged infringement have still not been decided.

A day later, the company was back in focus over glyphosate. In a new US trial, lawyers for three plaintiffs accused Monsanto’s Roundup weedkiller of inadequate testing. Bayer is still seeking court approval for a settlement valued at US$7.25 billion. That push for an agreement sits alongside the risk of fresh individual trials if the deal fails to win judicial backing.

Against that legal and operational mix, the balance sheet has become a central issue. On 23 September, Bayer sold new hybrid bonds worth EUR 2 billion. The issue was split into two tranches of EUR 1 billion each, taking total outstanding hybrid debt to EUR 6.55 billion. The proceeds are earmarked for general corporate purposes.

The financing step came after a month of regulatory progress in the pharmaceutical division. Earlier in the week, the US Food and Drug Administration granted priority review to Lynkuet, or elinzanetant, for an additional indication involving moderate to severe vasomotor symptoms in women undergoing endocrine therapy for hormone receptor-positive breast cancer. Mid-September also brought approval for finerenone in adults with chronic kidney disease linked to type 1 diabetes. Separately, the FDA has granted accelerated approval to sevabertinib as a first-line treatment for adults with HER2-mutated non-small cell lung cancer.

Bayer also announced a management change on Thursday. Dr. Christoph Koenen took over as chief medical officer in the pharma division on 1 October, while retaining his current role as head of clinical development and operations.

Despite the day’s decline, the shares remain up 23 percent since the start of the year. Another measure puts the year-to-date gain at 25 percent. For now, investors are left weighing whether the group’s pipeline progress and financing flexibility can offset the drag from crop timing, court battles and the still unresolved settlement push.
