Bayer shares closed Friday's session 2.0% higher, placing the stock among the DAX's stronger performers. The advance came against a friendlier market backdrop, but it also coincided with a completed corporate transaction — a distinction that matters more than the headline gain itself.

A minority stake, not a takeover

Apollo has taken a minority interest in LARC. The deal is closed, not merely announced and awaiting execution — which sets it apart from Bayer's other recent news, including the investment plans on the pharmaceutical side that remain proposals rather than finished business.

The size of the transaction deserves careful reading. The figure attached to the deal describes the stake purchase; it is neither a revenue line nor a profit metric, and it should not be treated as a gauge of operating performance. Bayer's drug pipeline remains a distinct news thread. The US FDA has accepted the company's supplemental application for Finerenon in chronic kidney disease without diabetes, based on positive Phase III data from the FIND-CKD trial. Acceptance is not approval, and that gap is worth keeping in view.

A second regulatory item: on September 28, the FDA granted Lynkuet a priority review for an additional indication covering moderate-to-severe vasomotor symptoms in women on endocrine therapy for hormone receptor-positive breast cancer. Separately, roughly a week ago, Bayer announced a new drug manufacturing site in New Albany, Ohio, carrying a planned investment of USD 2.2 billion and around 600 new jobs. That project is a stated plan; the Apollo transaction is finished business. The difference is precisely what makes the stake sale the more relevant item for assessing Friday's trading.

JPMorgan's note sets the real test

None of this answers the operating question. JPMorgan kept Bayer at "Overweight" with a price target of EUR 61 on October 1, but analyst Richard Vosser cautioned that early market expectations for the third quarter may be too high. He attributed the possible shortfall mainly to timing effects in the agricultural division, and on that basis expects full-year estimates to barely move. His argument separates a potentially soft quarter from any fundamental deterioration in the annual outlook.
