Bayer delivered a quarter in which the operating line and the bottom line pulled in opposite directions. The German drugs-and-seeds giant posted a net loss of EUR 672 million for the third quarter of 2026, even as earnings before special items climbed 6.9% year on year — a split-screen result that puts the health of the underlying business in sharp relief against the drag of its legal overhang.

Revenue for the period came in at EUR 10.053 billion, a nominal advance of 4.1%, while EBITDA before special items reached EUR 1.615 billion. The company reported the figures on Tuesday.

Guidance Raised on Two Fronts

Buoyed by that operating momentum, Bayer lifted its full-year target for currency-adjusted group EBITDA to a range of EUR 9.8 billion to EUR 10.3 billion, up from the previous EUR 9.6 billion to EUR 10.1 billion.

The company also sharpened its cash outlook, now projecting free cash flow of minus EUR 1.5 billion to minus EUR 0.5 billion. A negative full-year cash figure remains baked in. On the balance sheet, expected net debt at year-end was trimmed to EUR 28.0 billion to EUR 29.0 billion.

Should investors sell immediately? Or is it worth buying Bayer?

Roundup: A Verdict Won, a Settlement Awaited

The litigation picture carries two distinct threads that investors should not conflate. On October 29, a Missouri jury unanimously sided with Bayer subsidiary Monsanto in the case of Theresa Aretino et al., rejecting claims brought by three women. According to Bayer, it marked the first Roundup trial since the US Supreme Court's ruling in Durnell.

Separately, the proposed Roundup settlement — valued at USD 7.25 billion — is still before a Missouri court. CEO Bill Anderson said Tuesday that Bayer expects a ruling on that package before Christmas, as reported by Reuters. The trial victory does not bear on the pending settlement decision.

Cardiovascular Data Headed for Chicago

Looking past the courtroom, Bayer said it will unveil fresh data spanning cardiovascular, renal and stroke research at the AHA Scientific Sessions, scheduled for November 6–9, 2026, in Chicago. Among the presentations is a post-hoc exploratory analysis of the OCEANIC-STROKE study examining Asundexian, part of the slate the company announced on Tuesday.

Bayer at a turning point? This analysis reveals what investors need to know now.

For all the noise around its legal exposure, the quarter's takeaway is a business whose operating earnings are expanding faster than sales — and a management team betting that a clearer litigation runway will let that performance speak for itself.
